Develia to acquire Bouygues Immobilier Polska

The price set in the preliminary agreement is EUR 66.5 mln (app. PLN 283.6 mln). The acquisition will allow Develia to increase the number of residential units it has under development and grow its land bank in Warsaw, Poznań, and Wrocław. The agreement is expected to close by June 30th, 2025, and is subject to UOKIK approval.

For several years, we have been continuously strengthening our position in the Polish residential property market. We have effectively supported our company’s growth through joint ventures and M&A transactions. The acquisition of Bouygues Immobilier Polska is in following with our business strategy and will enable us to further expand in the three cities, where we already operate, first of which is Warsaw, a particularly attractive market for us. Our strategy is to allocate over PLN 500 mln annually for land acquisitions and M&A, and this transaction fits into this framework. Given Develia’s very good liquidity, we are able to finance this acquisition through our own funds, leaving open the possibility of refinancing with a bank loan.

Bouygues Immobilier is one of the leading property developers in France. The company has been active in Poland since 2001, delivering over 9,500 residential units and commercial premises across 70 projects to date. At the end of 2024, Bouygues Immobilier Polska had around 1,300 units either under development or in preparation, of which 1,098 were already covered by development agreements. Additionally, the company held approximately 2,800 units in land secured by preliminary agreements. These projects are located in Warsaw (app. 71 pct of the total usable area ), Poznań (13 pct), and Wrocław (16 pct). Currently, Bouygues Immobilier Polska is developing projects that include Viva Cité, Lumea Estate and Neo Praga in Warsaw, Vilda Arte in Poznań, and Vivre in Wrocław.
